    MIDSOUTH BANK (In Organization) Announces New Board Member, Dallas G. Caudle, Jr.

           Lee Moss, Chairman and Chief Executive Officer and Ben Weatherford, President, of MidSouth Bank (In Organization), Murfreesboro, has announced that Dallas Caudle has joined the Bank as Executive Vice President.

           Caudle received a Bachelor of Science degree in Mathematics from Middle Tennessee State University. He continued his education through the American Institution of Banking; Tennessee School of Banking at Vanderbilt University, and the National Clearing House Association's The Payment Institute at the University of Colorado. Caudle began his banking career in 1971 at Murfreesboro Bank & Trust Company (now SunTrust Bank). He started as a Management Trainee, and within two years was promoted to Branch Manager. When Murfreesboro Bank & Trust moved to their new location in 1978, Caudle became the Data Processing Manager. Other positions he held while with the bank included Bank Operations Manager; Marketing and Product Development; Corporate Services Manager; and Commercial Lending Officer.

           Caudle has been active in professional organizations throughout his 32 years in banking. He served as former president of the Tennessee Automated Clearing House Association; a board member of the National Automated Clearing House Association; and a NACH Education and Training committee member.

           While maintaining a busy schedule in his banking career, Caudle has been very active in the Rutherford County community. He has been a member of the Murfreesboro Historic Zoning Commission since 1986 and served as past chairman. In 1991 he was a graduate of Leadership Rutherford and has been a board member. Other affiliations in which Caudle has been involved include Board of Directors and Vice Chair of Main Street; Assistant Scoutmaster of Boy Scout Troop 416 for 14 years; Eta Gamma Chapter of Sigma Chi fraternity House Corporation President; and City of Murfreesboro Comprehensive Land Use committee member.

           Caudle was honored with the Distinguished Sales & Marketing Award from Sales & Marketing Executives of Nashville in 1994. Because of his extensive involvement with the Boy Scouts, he was presented with the Long Rifle Award by the Trail of Tears District Middle Tennessee Council Boy Scouts of America.

           He and his wife, Melinda, who have two sons, Miller and Dallas, attend St. Rose Catholic Church.

           "I have had the privilege of working with Dallas the past eight years and am thrilled he has chosen to join the MIDSOUTH family," stated President, Lee Moss. "Dallas' experience covers both operations and business development; and he is outstanding in both areas." he continued. "He provides superior service to his clients and has a very loyal following. We are truly blessed to have him on the team."

           In early January, 2003, Jack Weatherford, Senior Chairman; Lee Moss, Chairman and CEO; and Ben Weatherford, President, of MidSouth Bank (In Organization) announced their intention of founding the new Bank. It will be headquartered in Murfreesboro and will likely be capitalized with at least $15 million raised by organizers from residents in Middle Tennessee. The initial plans for the new Bank include two offices in Murfreesboro and one in Smyrna/LaVergne area. The Bank has recently announced its intention to purchase First United Methodist Church at 220 North Church Street which will serve as its Main Office. The organization has set up a temporary office to handle inquiries about the bank at 1138 Dow St. in Murfreesboro and can be reached at 494-4949. Stock subscriptions are now being offered and may be picked up at either the office or at Holiday Inn where the bank leaders and organizers will be available to answer questions and provide the Offering Circular during the weeks of April 14th through April 19th and April 21st through April 23rd.
