Series 2009A Preferred Stock and Warrants:

Conversion – Each share converts automatically on March 31, 2015, into two shares of the bank’s ordinary common stock.

Conversion Rights – Convertible at any time by Shareholder by completing the Preferred Stock Conversion Form. Converts automatically on March 31, 2015.

Warrants – For every five preferred shares purchased, the bank issued a warrant to the investor to purchase one share of common stock for 75% of the preceding quarter-end book value by completing the Warrant Exercise Form. The warrants expire March 31, 2016. They are detached and can be sold separately from the preferred stock. Current exercise price for MidSouth Bank Series 2009A warrants is $3.25 per share through end of business day March 31, 2014.

Series 2011-A Preferred Stock and Warrants:

Conversion – Each share converts automatically on May 31, 2016, into two shares of the bank’s ordinary common stock.

Conversion Rights – Convertible at any time by Shareholder by completing the Preferred Stock Conversion Form. Converts automatically on May 31, 2016.

Warrants – For every five preferred shares purchased, the bank issued a warrant to the investor to purchase one share of common stock for 85% of the preceding quarter-end book value by completing the Warrant Exercise Form. The warrants expire May 31, 2017. They are detached and can be sold separately from the preferred stock. Current exercise price for MidSouth Bank 2011A warrants is $3.68 per share per share through end of business day March 31, 2014.
